Summary

The Associate General Counsel provides practical, timely legal support to Ahtna, Inc. and its subsidiaries under the direction of the General Counsel. The role addresses routine to moderately complex legal issues, escalating high-risk or enterprise-level matters to the General Counsel. Familiarity with ANCSA/ANILCA, Alaska Native rights, land use, federal and commercial contracting, and employment law is important; the position helps translate legal requirements into workable guidance for subsidiary operations and shared services.

The salary range for this position is $204,952-$261,314 annually.

This position is located in Anchorage, Alaska.

Essential Duties and Responsibilities

• Provide legal advice to subsidiary leadership and Business Support Services on project execution, contract performance, vendor and subcontractor issues, and routine regulatory questions.
• Review, draft, and negotiate a range of agreements (e.g., subcontracts, NDAs, teaming agreements, service agreements, purchase orders, change orders, amendments).
• Support risk spotting and mitigation strategies for bids and ongoing projects; help resolve routine disputes and customer issues.
• Assist HR with routine employment and labor questions, ADA/FMLA matters, policy interpretation, and employee‑relations documentation; escalate sensitive or high‑risk issues to the General Counsel.
• Provide advice regarding any legal issue important to the Ahtna region, including subsistence, land use, etc.
• Provide first‑line guidance on SBA 8(a) considerations, FAR/DFARS basics, and common flow‑downs affecting operations; flag ambiguities or exceptions for GC review.
• Review solicitation terms for legal/compliance risks; coordinate with Pricing/Proposals and Contracts on responsive, compliant positions.
• Help maintain clause libraries, forms, templates, and checklists used across subsidiaries.
• Assist with implementing segments of the corporate compliance program as assigned; help monitor routine compliance tasks and training.
• Conduct targeted legal and regulatory research to support policy updates, risk assessments, and standard operating procedures; ensure practices stay current with applicable requirements.
• Support planning and documentation for governance or leadership meetings as directed (e.g., agendas, briefing materials, minute drafting).
• Serve as a point of contact for information gathering and coordination with outside counsel on delegated matters; manage routine subpoenas and information requests.
• Assist with internal investigations and fact development under GC direction.
• Assist with entity filings, business licenses/registrations, and maintenance of corporate records.
• Help draft and maintain corporate policies, position papers, and legal guidance notes for internal stakeholders.
• Perform other legal tasks as assigned by the General Counsel.

Supervision

This position does not routinely supervise staff. May provide task direction or mentorship to Paralegals, Legal Assistants, Contract Specialists, and interns as delegated by the General Counsel.

Minimum Qualifications

• Juris Doctorate (J.D.) from an accredited law school.
• Admitted to the Alaska Bar Association.
• Eight (8) years as a licensed attorney with experience including contract drafting/negotiation and advisory work for business operations.
• Demonstrated familiarity with ANCSA/ANILCA, Alaska Native Legal considerations, corporate governance fundamentals, and Alaska Native subsistence rights.
• Experience supporting federal or commercial contracting environments and providing practical, business-oriented legal guidance.

Preferred Qualifications

• Experience with government contracting, SBA 8(a) program, and/or construction operations.
• Prior in‑house experience serving multi‑subsidiary enterprises or shared‑services models.
• Experience and knowledge of Alaska Native cultures and important legal issues.

Physical Demands

Frequent sitting for prolonged periods of time, using hands/fingers requiring dexterity and coordination to handle files and single pieces of paper, reaching with hands and arms for items above and below desk level, talking, hearing, and seeing (up close, at a distance, along the periphery, with depth perception, and the ability to adjust focus); walking from place to place within the office with occasional use of stairs and no elevator available; bending, pushing, pulling, and standing for up to 2 hours; occasional lifting of up to 25 pounds such as small office equipment, files, stacks of paper, reference and other materials.

Work Environment

Work is performed in an office setting with the ability to speak and receive phone communications often. Work requires computer usage with strength, dexterity, coordination, and visual acuity to use the keyboard and video display terminal and other office equipment.

Air and road system travel requirements to shareholder communities, subsidiary offices, Washington D.C., and other locations can be moderate to heavy.

Work Schedule: Monday – Friday, 8:00 to 5:00, depending on business needs
