INVESTMENT / FUNDS ASSOCIATE ATTORNEY

This is a high-impact, fully remote role for a senior funds attorney with deep BigLaw roots and hands‑on private fund formation experience. You will work directly with fund managers and institutional investors on sophisticated structuring, documentation, and compliance matters across a diverse client base. What You'll Do Draft and negotiate fund formation documents: offering memoranda, LPAs, subscription documents, and IMAs Review and track investor subscription documents; support onboarding and fund closings Draft fund‑related agreements including transfer and secondary transfer documents Compile side letter compendiums and manage MFN (most favored nation) election processes Support AML/KYC processes and ongoing fund compliance obligations Monitor regulatory developments and advise on best practices in private funds Work across diverse fund structures: PE, hedge funds, private credit, and emerging asset classes What We're Looking For Required JD from an accredited law school; NY Bar admitted (or willing to obtain/transfer) 8+ years of total legal experience in private funds or investment management 5+ years at a large law firm (BigLaw) in an Investment Management or Private Funds group Strong, demonstrable fund formation experience — this is a must Expert‑level drafting of LPAs, PPMs, subscription documents, side letters, and IMAs Knowledge of the Investment Advisers Act, Investment Company Act, Securities Act, and ERISA Strongly Preferred In‑house experience at a hedge fund, PE firm, or asset manager Familiarity with AML/KYC compliance and investor onboarding processes MFN election process and side letter compendium management experience Ability to work independently with minimal supervision in a remote environment #J-18808-Ljbffr Legal Kapital
