Direct Counsel is seeking a Fund Formation/Investment Management Associate Attorney (Mid-to-Senior Level) to join a national law firm in multiple U.S. offices.

Overview
Direct Counsel is recruiting a mid-to-senior level fund formation and investment management associate attorney to join the Fund Formation/Investment Funds team. The role focuses on structuring and forming private investment funds, negotiating with fund investors, and addressing operational issues. Candidates will work directly with senior leadership at fund manager clients in a collaborative environment.

Key Responsibilities

• Advise clients on the structuring, formation, and operation of private investment funds.

• Negotiate with investors and manage fund operational and governance matters.

• Draft, review, and negotiate fund formation documents and related agreements.

• Collaborate closely with partners, clients, and internal teams on complex fund transactions.

Qualifications

• 4–6 years of experience in private investment fund formation and investment management transactions.

• JD from an accredited law school and active membership in the New York, Illinois, or Washington, D.C. bar.

• Strong drafting, analytical, and communication skills.

• Ability to manage multiple matters efficiently in a collaborative, team-oriented environment.

Compensation
The anticipated salary range for this role is $265,000 – $390,000 , depending on experience and location.
