Corporate Paralegal

This position will assist attorneys in a wide variety of complex commercial transactions, real estate matters, mergers and acquisitions, and commercial loans. Competitive benefits, including competitive salaries, medical, dental, vision, life and disability coverage, FSA, HSA, vacation, and a 401(k) plan Paid parking or transportation allowance Unique benefits including a paid day off for your birthday, office casual dress code, tuition reimbursement, and more Flexible work schedules in a hybrid working environment Job Details What You'll Do: Support attorneys in all phases of mergers and acquisitions, including due diligence, document review, data room organization, and closing coordination Assist with a range of corporate transactions, including preparation and management of purchase agreements, stock and asset transfers, and related closing documents Assist in the preparation and filing of documentation for entity formations, including corporations, LLCs, and partnerships across multiple jurisdictions Maintain corporate records and minute books, including resolutions, ownership structures, and ongoing compliance filings Support commercial real estate transactions and closings, including preparation of closing documents and coordination with title companies, lenders, and outside parties Manage closing processes, including timelines, signature coordination, and preparation of closing binders Assist with ongoing corporate governance and compliance matters You Should Have A 4-year degree in Legal Studies, or a 4-year Bachelor's degree with a Paralegal Certificate, or equivalent experience Knowledge of legal principles and practices at a level normally acquired through formal paralegal training Ability to organize and prioritize numerous tasks and complete them under time constraints Ability to proofread material for contextual, grammatical, typographic, or spelling errors Ability to review, organize, and analyze documentsExcellent communication and drafting skills Advanced knowledge of Microsoft Products Proficiency in document management systems Jobot is an Equal Opportunity Employer.
