Transactional Attorney

Draft, review, and negotiate a variety of commercial agreements and contracts. Handle mergers and acquisitions, asset purchases, stock purchases, and other corporate transactions. Advise clients on corporate governance, entity formation, and business structuring. Conduct legal due diligence for mergers, acquisitions, and financing transactions. Prepare and review operating agreements, shareholder agreements, partnership agreements, and other corporate documents. Collaborate with clients and internal teams to manage transactions from inception through closing. Provide legal guidance on regulatory compliance and corporate governance matters. Mentor junior attorneys when appropriate. Qualifications J.D. from an accredited law school. Active bar license in the state where the position is based. 4+ years of experience in transactional, corporate, or business law. Strong experience drafting and negotiating commercial contracts. Experience with M&A, corporate governance, and business transactions preferred. Excellent analytical, negotiation, and communication skills. Ability to manage multiple matters in a fast-paced environment.
