Job Overview
A law firm seeks a Mid-Level Transactional Attorney with experience in complex transactional matters to join their IP Practice Group in Oakland, CA. This role offers an opportunity to expand expertise into Franchise Law, with training provided for the right candidate. The position is ideal for those motivated by intellectual challenges and interested in a path to partnership.
Duties
- Draft, review, and negotiate contracts, including master service agreements and license agreements.
- Draft and revise Franchise Disclosure Documents and related agreements.
- Respond to comment letters from state regulators.
- Advise clients on compliance with federal and state franchise laws.
- Advise on franchise sales compliance, renewals, and terminations.
- Analyze and implement exemption-based franchise sales strategies.
- Research and provide advice on various legal issues.
- Manage client communication and expectations.
- Participate in business development and networking within the franchise community.
Requirements
- 3 - 5 years of transactional experience, including contract analysis and drafting.
- Experience in corporate and commercial matters; litigation, trademark regulatory compliance, and/or data privacy experience is a plus.
- Strong drafting and negotiating skills.
- Excellent research skills and familiarity with AI-powered legal tools.
- Superior verbal and written communication skills.
- Self-starter with outstanding organizational skills.
- Ability to manage multiple assignments independently.
- Strong analytical and problem-solving skills.
- Interest in developing expertise in franchise law.
- Proficient with MS Office Suite and a Document Management System.
Education
- Juris Doctor degree from an accredited law school.
Certifications
- California Bar license in good standing.
Skills
- Strong attention to detail.
- Ability to interface with clients and provide sound legal advice.
- Ability to work independently and as part of a team.
