$260,000 – $390,000

A premier global law firm is seeking a Private Companies Associate Attorney to join its Washington, DC office.

This opportunity is ideal for an attorney interested in representing emerging growth companies, venture-backed startups, founders, venture capital funds, and strategic investors throughout the full business lifecycle.

• 3–6 years of corporate transactional experience gained at a national or international law firm

• Extensive experience representing early-stage and growth-stage companies on sophisticated corporate matters

• Experience advising venture-backed companies, founders, boards of directors, venture capital funds, and institutional investors

• Experience handling venture capital financings, equity financings, SAFE and convertible note financings, mergers & acquisitions, liquidity events, and other strategic transactions

• Experience providing day-to-day corporate counseling , including corporate governance, equity issuances, commercial matters, and board governance

• Experience drafting and negotiating stock purchase agreements, investor rights agreements, voting agreements, financing documents, operating agreements, shareholder agreements, and other corporate documents

• Experience managing transactions from initial structuring through closing while serving as a trusted advisor to founders and executive leadership

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to independently manage sophisticated matters while maintaining significant client interaction

• Outstanding academic credentials

• J.D. from an ABA-accredited law school required

• DC bar admission required or ability to become admitted
