Direct Counsel is seeking an experienced Tax Attorney Associate to join a sophisticated transactional tax practice in Washington, D.C. or New York. This opportunity is ideal for an attorney with experience in M&A tax and the federal income tax aspects of corporate transactions.Location

Key Responsibilities

• Advise on tax aspects of mergers and acquisitions and corporate transactions.

• Assist with tax structuring and planning for complex transactions.

• Draft, review, and negotiate tax-related provisions in transactional agreements.

• Conduct tax due diligence and identify potential tax risks.

• Collaborate with corporate and M&A attorneys on sophisticated transactions.

Qualifications

• 3–7 years of relevant tax law experience.

• M&A tax experience required.

• Strong understanding of federal income tax principles and transactional tax matters.

• Excellent legal research, drafting, analytical, and communication skills.

• Licensed to practice law or eligible for admission in New York or Washington, D.C.

Compensation

$225,000–$435,000 Base Salary, depending on experience and seniority.

The range reflects the firm's full associate salary scale; compensation for the targeted experience level will fall within that scale.
