POSITION DESCRIPTION:

The Paralegal is responsible for providing support to annual reports and entity management for the entire ES Business. This position will prepare, track, and file regulatory compliance documents and manages corporate records under the Director of Legal Ops’ supervision. This position will act as a liaison between Legal and various business teams and provide commercial support. This position reports to and will work directly with the Director of Legal Ops or another senior management personnel that the General Counsel of the Company may designate. This position is located in Irvine, California.

RESPONSIBILITIES:

I. Entity and Corporate Books Support 

• Annual Report Filings: Prepare, review, and file domestic and foreign annual reports, franchise tax reports, and periodic renewals with state secretary of state offices or regulatory bodies.
• Entity Maintenance: Track and manage corporate lifecycle events, qualifications to do business, amendments, dissolutions, and good standing certificates across multiple jurisdictions.
• Corporate Records Management: Update and maintain minute books, governance records, board resolutions, and cap tables using entity management software (e.g., Carta or specialized legal databases).
• Deadline Tracking: Maintain a centralized compliance calendar to ensure all state-specific filing deadlines, fees, and statutory requirements are met proactively.
• Liaison Support: Coordinate with state agencies, registered agents (e.g., CT Corporation), and external legal counsel to resolve compliance or filing discrepancies.
• Due Diligence & Transactions: Assist with corporate restructuring, mergers, acquisitions, and financing by pulling good standing certificates and organizing historical filing data.

II. Commercial Support

• Managing, prioritizing, and tracking contract requests and approvals in accordance with internal policies and procedures.
• Help support the contract execution process, including assembling agreements, exhibits, work/project orders, award letters and any other ancillary documents.
• Reviewing contractual documents to answer non-complex legal questions, escalating issues or risks to attorneys as appropriate.
• Maintaining and supporting the company’s records management program, including coordination with Sr. Counsel and legal ops staff on record retention and purging.
• Providing general Legal Department support (and backup as needed basis), including research assistance, special projects, and legal training initiatives as needed.

REQUIRED QUALIFICATIONS

• Bachelor’s Degree with a minimum of 3+ years of experience or equivalent in in-house legal department or law firm experience.
• Must have a Paralegal Certificate from an ABA-approved program.
• Experience with the solar or renewable industry is a plus.
• Excellent organizational skills, extreme attention to detail orientation, and the ability to manage multiple priorities.
• Computer and tech savvy. Advanced level in MS Office Suite, G-Suite, Salesforce, and Adobe Pro (pdf), AdobeSign/DocuSign.
• Enjoy learning using new software or any type of computer system.
• Excellent verbal, and written communication, organizational, and time management skills.
• Agile and effective communicator with clear oral and written explanations.
• Ability to prioritize multiple and simultaneous projects, issues, and activities.
• Proactive and enjoy working in a fast-paced environment.
• Able to multi-task, set priorities, and meet deadlines.
• Confidence and ability to interact with people at all levels of the organization.
• Dependable and trustworthy.

PREFERRED QUALIFICATIONS:

• CA Notary public, Remont Online Notary (RON), or willing to become one.

COMPENSATION:

In accordance with applicable pay transparency laws, the anticipated annual base salary for this position is:

• Zone 1 (Bay Area, NYC): $86,400 – $95,000
• Zone 2 (CA, NJ, NY): $79,200 – $87,100
• Zone 3 (All others): $72,000 – $79,200

The applicable salary range is based on the employee’s primary work location. Individual compensation will be determined based on qualifications, relevant experience, education, skills, internal equity, and other business-related factors.

The salary range is required by the California Pay Transparency Act and may differ depending on the location of those candidates hired nationwide. Actual compensation is influenced by a wide array of factors including but not limited to, skill set, education, licenses and certifications, essential job duties and requirements, and the necessary experience relative to the job’s minimum qualifications.
