Sr Transaction Diligence Manager

RWE Clean Energy, LLC To start as soon as possible, full time, permanent Functional area: Finance / Controlling Remuneration: Exempt The SrTransaction Diligence Manager will lead IE diligence efforts for tax equity transactions across utility-scale solar, wind, and battery energy storage (BESS). This role requires a strong foundation in engineering and project management, the ability to evaluate and translate technical risks into commercial impacts, and effective coordination across internal teams, external consultants, and external investors. The ideal candidate will bring a balance of technical acumen, financial literacy, and strong stakeholder management to support successful deal execution through financial close. Role Responsibilities Lead the technical due diligence process for project financing, working with IEs and internal SMEs Serve as primary technical contact during financing processes, addressing lender inquiries and guiding risk mitigation discussions Review and validate all technical reports, risk assessments, and compliance documentation to ensure projects meet financing conditions Provide input to structured finance teams on technical readiness and risk impacts for tax equity financing and M&A deals Ensure QA/QC of energy yield assessments, OEM specifications and test reports, external test reports, and technical drawings review Ensure compliance with industry standards, regulatory requirements, and lender expectations Project Management Manage deliverables across cross-functional teams (engineering, project execution, transmission, construction, commercial, and finance) to ensure seamless coordination during the financing process Maintain project timelines, deliverables, and risk registers for technical diligence activities Work closely with investors and technical SMEs to implement feedback from lessons-learned in project specifications to align with financing requirements Structured Finance & Transaction Support Provide technical input for financing agreements, term sheets, and lender requirements Prepare executive-level summaries of diligence findings, risk mitigations, and conditions precedent status for leadership updates Assist in the financial close process, ensuring technical compliance with lenders' conditions precedents Lead and participate in developing process improvements for timely close of tax equity deals Job Requirements and Experiences Bachelor’s or Master’s degree in Engineering (Electrical, Mechanical, Civil, or Renewable Energy) or a related technical field MBA or Finance-related qualification is a plus Minimum of 8 years of experience in renewable energy project engineering/technical due diligence/project management or structured finance Is detail-oriented, has strong business acumen, a sound understanding of business concepts and organization goals Strong organization skills and ability to coordinate multiple priorities and projects Proven ability to empathize, build relationships, and effectively communicate with people across the org chart internally and externally Ability to identify risk level and propose mitigation strategies proactively Leading high-stakes diligence processes and resolve escalated technical issues Overseeing diligence across complex portfolios and project pipelines Ability to multi-task, while working independently and as part of a team Motivated self-starter, goal-oriented, and strong problem-solving abilities Prior involvement in project finance transactions and investor engagement is a plus Understanding of financial modeling and investment analysis is advantageous Applicants must be legally authorized to work in the United States. The listed salary range represents our good faith estimate for this position and represents the range for new hire salaries across all U.S. locations.
