We serve as outside general counsel and advise on nonprofit and tax-exempt organization law, campaign finance and election compliance, federal and state grants, business transactions, employment law, and public policy. Position Summary TLS Legal is seeking an experienced paralegal to support its nonprofit, tax-exempt, and political and campaign law practice. The paralegal will work closely with attorneys and clients on entity governance, regulatory filings, legal research, document preparation, and deadline management. This position is based in our downtown Boulder office and requires regular, reliable on-site attendance. Essential Duties and Responsibilities Prepare and maintain nonprofit corporate governance materials, including board and committee materials, minutes, resolutions, bylaws, and conflict-of-interest documentation. Assist attorneys with entity formation, exemption applications, registrations, and ongoing compliance for organizations described in Sections 501(c)(3), 501(c)(4), and other provisions of the Internal Revenue Code. Support campaign finance and election-law compliance, including preparing and tracking filings, reports, registrations, and disclosure requirements. Assist with federal and state grant-compliance matters. Draft, proofread, cite-check, format, and assemble legal documents, correspondence, presentations, and client communications under attorney supervision. Conduct legal and factual research and summarize findings for attorney review. Organize and maintain client records, corporate records, and electronic matter files in accordance with firm policies. Communicate professionally with clients, courts, government agencies, filing offices, and outside vendors as directed. Support due diligence, closing preparation, and document review for transactions. Maintain calendars and docketing systems; monitor and communicate filing, renewal, and compliance deadlines. Perform other related duties consistent with the position, as assigned. Required Qualifications At least two years of relevant paralegal experience in a law firm, in-house legal department, government agency, or nonprofit legal setting. Paralegal certificate or a comparable combination of education, training, and relevant experience. Excellent writing, proofreading, document-production, and organizational skills, with close attention to detail. Ability to manage multiple matters and deadlines, exercise sound judgment, protect confidential information, and work both independently and collaboratively. Proficiency with Microsoft 365, including Word, Outlook, Excel, and PowerPoint. Preferred Qualifications Experience or demonstrated interest in nonprofit, tax-exempt organization, campaign finance, election, or public-interest law. Experience with legal research platforms, electronic filing systems, document-management systems, or law-practice management software. Experience preparing governmental or regulatory filings. Compensation and Benefits This is a full-time, nonexempt position. The anticipated annual base salary range is $75,000–$90,000, depending on relevant experience, qualifications, and other lawful factors.
