Corporate Paralegal Location: New York, NY (Hybrid)
Compensation: $120,000-$160,000+ (flexible for right fit) A sophisticated and growing business law firm in New York City is seeking a seasoned Corporate Paralegal to support its expanding corporate and transactional practice. This role requires a highly experienced professional who can independently manage corporate filings and serve as a key member of transactional deal teams. The firm is looking for someone confident handling Delaware, SEC, and UCC filings with minimal supervision.
Key Responsibilities

This role requires a highly experienced professional who can independently manage corporate filings and serve as a key member of transactional deal teams. The firm is looking for someone confident handling Delaware, SEC, and UCC filings with minimal supervision.
Key Responsibilities
- Prepare and file corporate formation and qualification documents (with strong emphasis on Delaware entities)
- Handle SEC filings (including Form D, Section 16, and related documentation as applicable)
- Conduct UCC searches and prepare/file financing statements
- Maintain corporate minute books, capitalization tables, and governance records
- Support M&A, venture capital, and private equity transactions
- Manage due diligence processes and closing logistics
- Coordinate multi-jurisdictional filings and regulatory submissions
- Interface directly with clients, state agencies, and third-party service providers
- 5+ years of corporate paralegal experience (law firm experience required)
- Demonstrated experience with:
- Delaware corporate filings
- SEC filings
- UCC searches and filings
- Strong transactional experience supporting M&A and financing matters
- Ability to manage multiple deadlines in a fast-paced environment
- Exceptional attention to detail and organizational skills
- Hybrid schedule (3 days in office / 2 remote)
