Real Estate Paralegal

A privately held investment and operating organization is seeking a detail-oriented Paralegal to support its legal and business teams on commercial real estate, lending, and corporate matters. This role will work closely with attorneys and internal stakeholders on transaction execution, due diligence, entity management, UCC filings, and post-closing administration.

• Location: Delray Beach, FL | Full-Time | In Office
  
  
• Compensation: 100-130k plus bonus

Responsibilities:

• Obtain, review, and summarize lien, judgment, litigation, and other public-record searches across applicable jurisdictions.
  
  
• Prepare and coordinate organizational documents, including articles of organization, certificates of incorporation, operating agreements, and related entity records.
  
  
• Order and review certificates of good standing and other corporate or tax documentation; assist with resolving discrepancies or outstanding issues.
  
  
• Review loan and closing documents-including credit agreements, security agreements, pledge agreements, mortgages, indentures, and payoff materials-for UCC provisions, filing authority, lien requirements, and termination provisions.
  
  
• Prepare and submit UCC-1 financing statements, collateral descriptions, and UCC-3 amendments, continuations, and terminations at the state and local levels.
  
  
• Coordinate with filing vendors and service providers to ensure required lien filings and releases are completed in connection with closings.
  
  
• Track and manage post-closing UCC matters, including filing confirmations, continuations, amendments, terminations, and follow-up searches.
  
  
• Draft and assemble documents related to real estate, financing, acquisitions, dispositions, construction, development, and operational matters under attorney direction.
  
  
• Assist with corporate and real estate due diligence, including document collection, review, organization, and issue tracking.
  
  
• Proofread and quality-check legal documents for accuracy, consistency, and completeness.
  
  
• Support attorneys and business partners with day-to-day legal and transactional needs across multiple active matters.
  
  
• Anticipate transaction requirements, prioritize competing deadlines, and maintain organized closing files and deliverables.

Preferred Qualifications & Attributes:

• Prior paralegal experience supporting commercial real estate, lending, corporate, or transactional legal matters.
  
  
• Working knowledge of UCC filings, lien searches, entity documentation, and real estate or loan closings.
  
  
• Strong organizational skills with the ability to manage multiple documents, deadlines, and priorities simultaneously.
  
  
• Excellent written and verbal communication skills, with the ability to interact professionally with internal teams and outside service providers.
  
  
• Strong attention to detail, sound judgment, and effective problem-solving abilities.
  
  
• Ability to work independently while collaborating closely with attorneys and business stakeholders.
  
  
• Flexibility to support time-sensitive transactions and extended hours when necessary.
