Corporate Paralegal

This role is part of the Corporate Paralegal group and is based in multiple U.S. and international locations, including Century City, Dallas, Denver, Houston, Los Angeles, New York City, Orange County, Palo Alto, San Francisco, and Washington, D.C. You will own the full lifecycle for high-volume subscription (capital call) and NAV lending transactions across U.S. and offshore jurisdictions. From intake to final execution, you will design workflows, coordinate with partners, and safeguard execution quality. Your responsibilities will directly influence how quickly and cleanly each deal progresses. The role operates in a fast-paced environment with significant transaction volume, requiring the management of numerous simultaneous closings. What you will do You will architect intake checklists and tracking systems that keep multiple concurrent financiations transparent from opening to close. You will gather lender KYC and condition precedent materials, then coordinate the clearance of liens and related searches before closing. You will orchestrate signature page circulation for intricate fund structures, managing versions and approvals across many entities. You will assemble and review fund organizational documents, mapping provisions that matter for subscription and NAV facilities. You will use AI tools such as Harvey to accelerate document review and diligence matrix creation. You will draft and file UCC-1 financing statements and related amendments, perfecting security interests with accurate collateral descriptions. You will maintain centralized calendars and status trackers for lien filings, deadlines, and deliverables across jurisdictions. You will produce secretary certificates, incumbency certificates, resolutions, and borrowing base certificates using precedent controls. You will oversee notarization, apostillization, and DocuSign execution workflows so executed packages reach closing on schedule. You will support transaction closings by compiling signature packets, final executed documents, and client-facing closing binders. You will also maintain post-closing collateral and deliverable requirements and manage the transaction pipeline and status trackers. You will maintain precedent and form libraries for the fund finance group and complete other tasks as assigned. Required qualifications You bring 3-5 years of experience as a corporate paralegal in a high-volume environment. You have working knowledge of secured lending documentation, including credit agreements, security agreements, and guarantees, with familiarity with UCC perfection mechanics. A preference is given to candidates with fund finance experience, particularly subscription and NAV facilities. You can read dense fund organizational documents and extract provisions that affect subscription and lending structures. You manage numerous simultaneous closings while maintaining accuracy and version control. You communicate clearly with internal partners and external counsel across all listed office locations. Nice to have Experience with AI tools for document review and precedent management.
