Senior Corporate Attorney

Kratos is seeking a Senior Corporate Attorney to work onsite at the Corporate office in San Diego, CA, or at one of its other U.S. locations.

GENERAL JOB SUMMARY:The Senior Corporate Attorney is responsible for providing legal advice to the company, and for ensuring the company operates in accordance with various legal parameters. Liaisons with other departments, outside counsel, law firms, or online legal services if necessary. This role will also provide advanced support for complex contracting activities, mergers and acquisitions (M&A) and other business transactions, and oversight of litigation handled by outside counsel. Experience with trade compliance and employment matters is also preferred. This position requires the ability to obtain a security clearance, if needed.

ESSENTIAL JOB FUNCTIONS:• Provide legal advice and counsel on general corporate matters, including corporate organization, securities compliance, data privacy, risk management, and contract management.• Draft, review, and negotiate a variety of contractual documents related to commercial and US Government contracts, including vendor and supplier contracts, customer and subcontract agreements, NDAs and license agreements.• Support the contract lifecycle management process to ensure efficient review, approval, and execution aligned with business objectives and risk tolerance.• Support M&A and other corporate transactions, including due diligence, deal structuring, drafting, reviewing and negotiating transaction documents, coordinating cross-functional review, and supporting post-closing integration activities.• Provide support on employment law matters such as hiring practices, performance management, workplace investigations, employee relations, wage & hour issues, and terminations.• Oversee and manage litigation handled by outside counsel, including case strategy, budgeting, discovery oversight, status reporting, and coordination with internal departments.• Advise on and ensure compliance with federal, state, and local regulations, including those related to government and regulatory requirements; support company-wide policy development and training.• Advise on trade compliance matters, including export controls, sanctions, and other related regulatory obligations; collaborate with Compliance to support training, monitoring, and internal controls.• Provide support on employment law matters such as hiring practices, performance management, workplace investigations, employee relations, wage & hour issues, and terminations.• Conduct or oversee internal investigations and manage dispute resolution efforts, including litigation strategy, whether handled internally or by outside counsel.• Collaborate cross-functionally with Contracts, HR, compliance, and leadership teams to provide legal guidance and training on policies, practices, and regulatory obligations.• Monitor legal, legislative, and regulatory trends to proactively identify risks and opportunities affecting the business.• Coordinate and manage outside counsel for specialized matters, including litigation, regulatory issues, intellectual property, and complex transactional work.• Perform other job duties as assigned

Required Experience:

KNOWLEDGE, SKILLS & ABILITIES:• Demonstrated experience in contract drafting and negotiation, M&A transactions, trade compliance, employment matters and managing outside counsel on litigation matters.• Exhibits advanced wide-ranging experience, using in-depth professional knowledge, acumen, concepts and company objectives to develop, resolve complex models and procedures.• Provides solutions to issues in creative and effective ways.• Understands the interrelationships of different disciplines.• Directs the application of existing principles and guides development of new policies and ideas.• Understands and works on complex issues where analysis of situations or data requires an in-depth evaluation of variable factors.• Determines methods and procedures on new assignments.• Exercises judgment in selecting methods, evaluating, adapting of complex techniques and evaluation criteria for obtaining results.• Have a willingness and ability to learn and utilize company technology for company required purposes, including, for example training, reviewing, and signing policies and procedures, benefits enrollment, and changes, and more.• Ability to read, understand, and follow instructions.• Ability to work in a fast-paced environment.• Ability to obtain a security clearance, if required.

EDUCATION AND EXPERIENCE:• Juris Doctor Degree.• Requires a minimum of 10 years of related experience, including law firm and in-house experience.• Active license to practice law in the United States.• Experience working within government contracts, defense, aerospace or other highly regulated industries.• Experience serving as a generalist with broad exposure across legal disciplines.
