Senior Corporate Attorney – Capital Markets | Fort Lauderdale, FL Location: Fort Lauderdale, Florida Practice Area: Capital Markets, Securities, Corporate Governance Experience Level: 5–10 Years A leading global law firm is seeking a Senior Corporate Attorney with 5–10 years of capital markets experience to join its Corporate Practice Group in Fort Lauderdale. This role offers exposure to sophisticated domestic and cross-border matters with both public and private clients. About The Role As part of a highly ranked transactional team, you will advise on securities offerings (including Rule 144A, IPOs, and registered deals), corporate governance, and ongoing SEC reporting for public companies. The group handles a broad spectrum of capital markets transactions and business combinations for issuers and underwriters across multiple industries. Key Responsibilities Represent clients in public and private securities offerings (S-1, S-3, S-4 filings) Counsel public companies on periodic reporting and disclosure under the Exchange Act (10-K, 10-Q, 8-K, proxy statements) Advise on corporate governance and compliance with SEC and exchange regulations Work closely with clients and cross-office teams on transactional strategy and execution Coordinate due diligence and manage deal processes from end to end Ideal Candidate JD from an ABA-accredited law school 5–10 years of relevant capital markets experience, preferably at a major law firm Admitted to the Florida Bar (or eligible/willing to obtain admission) Proven experience drafting offering documents and advising on '33 and '34 Act matters Strong attention to detail and ability to manage multiple complex matters independently M&A experience and familiarity with proxy contests or shareholder activism a plus Compensation & Culture Highly competitive salary and Am Law Global 100 platform Access to national and international deal flow Collaborative and inclusive firm culture Flexible consideration for candidates outside of Florida #J-18808-Ljbffr The People Of: Professional Services
