Capital Markets/Securities Associate — Dallas or Houston An AmLaw 100 Texas law firm is seeking Capital Markets/Securities Associates with 3–5 years of experience to join its Capital Markets Practice Group in its Dallas or Houston office. The position includes leading and executing a broad range of corporate transactions, including public and private securities offerings such as offerings of common stock, warrants, convertible securities, and ATM programs. The role also involves advising clients on alternative paths to the public markets, including reverse mergers, de-SPACs, spin-offs, and direct listings. What we're looking for: Experience in corporate and securities law at a major law firm Strong understanding of the Securities Act, Exchange Act, and relevant stock exchange rules JD from an accredited law school, graduation years 2021–2024 Admission to the Texas State Bar Prior Capital Markets experience is required to apply; no pivots Compensation: Base salary and bonus on the Cravath scale, commensurate with class year (currently $260,000–$365,000 base for 3rd–5th year associates, plus a year-end bonus of $42,500–$75,000). Associates joining the firm will also receive a full year-end bonus guarantee for their first year.
