Legal CounselEnglewood Cliffs, New Jersey, United StatesPosition OverviewThe Legal Counsel will provide day-to-day legal support to the company, assisting senior legal counsel in handling contract management, and general corporate legal matters. The ideal candidate will have 13 years of relevant legal experience, preferably in corporate law, commercial agreements, and regulatory compliance.Key ResponsibilitiesContract Review and Drafting:Draft, review, negotiate, and finalize standard contracts including NDAs, vendor and customer agreements, licensing agreements, and service contracts under supervision.Compliance and Regulatory Affairs:Assist with monitoring compliance with applicable laws, regulations, and corporate policies, including data privacy, employment, anti-corruption, and industry-specific regulations.Legal Research and Advisory:Conduct legal research and provide timely, concise, and accurate legal advice to internal departments on routine matters, escalating complex issues to senior counsel as appropriate.Corporate Governance:Support corporate governance activities, including maintaining corporate records, drafting resolutions, and supporting board and committee meetings.Risk Management and Litigation Support:Assist in assessing legal risks, developing mitigation strategies, and supporting litigation or dispute resolution matters, including document collection and liaising with external counsel.Policy Development:Assist in drafting, reviewing, and updating internal policies, procedures, and compliance guidelines to align with current legal standards and best practices.Qualifications & Skills- Juris Doctor (JD) degree from an accredited law school.- Licensed to practice law in New Jersey.- 12 years of experience as legal counsel, associate attorney, or equivalent role, preferably in a corporate setting or commercial law practice.- Strong analytical, research, and organizational skills.- Clear, concise, and professional written and verbal communication.- Ability to manage multiple tasks in a dynamic, fast-paced environment.- Proficiency with standard office and legal research software tools.
