Advise clients on securities law compliance and corporate governance matters. Conduct legal research involving federal and state securities laws. Assist with capital markets transactions from inception through closing. Analyze disclosure obligations under the Securities Act, Exchange Act, and related SEC regulations. Collaborate with partners, clients, and outside counsel on sophisticated corporate matters. Utilize legal research tools and resources to support client matters. Manage multiple assignments while delivering exceptional client service. Qualifications JD from an accredited law school. Bachelor's degree. Active admission to the New York Bar. Approximately 1+ years of securities and capital markets experience. Law school graduation approximately between 2021 and 2023. Experience at a highly regarded New York law firm's securities practice. Strong understanding of the Securities Act of 1933, Securities Exchange Act of 1934, Regulations S-K, S-X, and M‑A. Excellent legal writing, analytical, research, and communication skills. Outstanding academic credentials. Stable law firm employment history strongly preferred.
