Corporate Associate – M&A / Private Equity

Multiple Locations

Direct Counsel is representing an AmLaw 100 firm seeking a Corporate Associate with 4+ years of experience to join its sophisticated Private Equity M&A practice. This is an excellent opportunity to take meaningful ownership of transactions from inception through closing while working with sophisticated clients and deal teams.

Key Responsibilities

• Draft, review, and negotiate acquisition agreements, equity documents, and ancillary transaction documents.
• Manage due diligence, identify key issues, and incorporate findings into deal strategy and documentation.
• Support portfolio companies with add-on acquisitions, dispositions, financings, and general corporate matters.
• Drive deal execution and closings while managing aggressive timelines.
• Collaborate with tax, finance, benefits, real estate, IP, and litigation specialists.
• Mentor and supervise junior associates.

Qualifications

• 4+ years of Private Equity and M&A experience , preferably at a large or sophisticated law firm.
• Experience managing significant transaction workstreams from inception through closing.
• Strong drafting, negotiation, analytical, and communication skills.
• Comfortable working directly with clients and financial sponsors.
• Strong academic credentials and JD required.
• Must be admitted in the jurisdiction where you will practice.

Compensation

$235,000 – $455,000 , depending on class year and experience, plus bonus and comprehensive benefits.
