Paralegal, Partnerships, Procurement and Corporate Governance

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Paralegal, Partnerships, Procurement and Corporate Governance based in the United States.

This remote role sits within a Legal & Compliance team and combines commercial contracting, procurement, partnerships, and corporate governance responsibilities. You will support the review, drafting, negotiation, and administration of a broad range of business agreements while helping internal teams manage contractual risk effectively. The position also offers exposure to entity management, board and committee processes, corporate records, and governance activities. You will work closely with legal, procurement, partnership, and business stakeholders in a collaborative and fast-moving environment. The role provides an opportunity to contribute to process improvements, standardization, and the adoption of AI-powered legal tools. It is well suited to a proactive legal professional who enjoys balancing detailed contract work with broader business and governance initiatives.

Accountabilities:

• Review, draft, administer, and support the negotiation of partnership and procurement agreements in line with established company guidelines, risk positions, templates, and negotiation standards.
• Support a broad range of commercial agreements, including vendor and supplier contracts, purchase orders, software and SaaS subscriptions, cloud services, consulting and independent contractor agreements, referral and lead generation agreements, strategic partnerships, joint marketing and co-selling arrangements, distribution agreements, and technology integration agreements.
• Partner closely with procurement, partnerships, and other business teams to facilitate efficient contracting processes and provide practical legal support throughout contract negotiations and administration.
• Recommend appropriate negotiation strategies, identify contractual risks, and propose mitigation approaches that align with business objectives.
• Help develop, improve, and implement contracting policies, guidelines, templates, workflows, exceptions, and risk controls, including processes for subcontractor agreements.
• Use AI-powered legal and research tools to accelerate contract review, drafting, and legal research while applying sound professional judgment and appropriate oversight.
• Monitor and triage the legal inbox, route requests to the appropriate team members, and respond to routine legal and contracting inquiries.
• Support the maintenance and enhancement of contract templates, legal forms, internal processes, and other legal and compliance initiatives.
• Manage multiple priorities and projects simultaneously, maintaining deadlines, clear communication, and strong relationships with internal stakeholders.
• Stay informed about emerging legal, contractual, business, and industry risks, as well as relevant trends and best practices.
• Collaborate with legal team members to develop practical solutions, standards, and approaches to complex contracting and compliance matters.
• Support training and guidance for business colleagues and team members on contracting processes and related legal requirements.
• Assist with risk management and litigation-related initiatives as needed.
• Support corporate governance activities, including entity management, entity formation and dissolution filings, corporate recordkeeping, and maintenance of the entity management system.
• Assist with preparing board and committee materials, resolutions, written consents, meeting minutes, and related governance documentation.
• Coordinate annual corporate filings, registered agent services, and state qualifications and withdrawals across multiple jurisdictions.
• Maintain organized corporate minute books and governance records.
• Travel approximately 10% of the time as required.

Requirements:

• 3+ years of experience as a paralegal or contracts professional supporting partnership, procurement, commercial contracting, or corporate governance functions.
• Bachelor’s degree, paralegal certificate, or equivalent combination of relevant education, training, and professional experience.
• A Master’s degree or Juris Doctor may substitute for up to two years of required experience.
• Strong interest in commercial transactions, corporate governance, and the cybersecurity or technology sector.
• Experience with Salesforce, Box, Microsoft Office, Microsoft Teams, Ironclad or other contract lifecycle management platforms, and AI-powered legal or productivity tools such as GC AI and Glean.
• Strong contract drafting skills, including the ability to maintain consistent and appropriate language across similar agreements.
• Excellent written, verbal, interpersonal, and stakeholder communication skills, with a demonstrated ability to build effective working relationships.
• Strong organizational, analytical, problem-solving, and prioritization skills, combined with sound professional and business judgment.
• Ability to assess contractual and business risks, recommend practical solutions, and support organizational objectives.
• Ability to handle confidential information with discretion and professionalism.
• Proactive, detail-oriented, and accountable approach to both day-to-day responsibilities and longer-term initiatives.
• Demonstrated ability to work independently while collaborating effectively with a broader legal and business team.
• Adaptability, initiative, and a willingness to take on varied tasks to support legal and business priorities.
• A practical, positive attitude and a sense of humor when navigating the varied demands of a legal environment.
• A paralegal certificate is a plus.

• Estimated annual salary range of $63,000–$105,000 , with the final offer determined by factors including education, geographic location, training, licensure, certifications, and relevant experience.
