C&I Lending Transactional Finance Attorney

OVERVIEW
We are seeking an experienced C&I Finance Attorney with 4 or more years of experience in commercial and industrial transactions, asset-based lending, leasing, and commercial finance. This role offers the opportunity to work on complex deals and provide strategic counsel to a diverse client base. The successful candidate will serve as a primary point of contact for institutional lenders, regional banks, and corporate borrowers, managing complex C&I transactions from initial term sheet to post-closing compliance.

KEY RESPONSIBILITIES
Prepare and negotiate purchase and sale agreements, commercial leases, easements, and related real property agreements
Draft, review, and negotiate financing documents including term loans, revolving credit facilities, security agreements (UCC filings), guarantees, and intercreditor agreements
Draft, review, and negotiate purchase and sale agreements and joint venture agreements
Manage due diligence including title, survey, and lease review, as well as collateral matters for C&I loans
Advise clients on transaction structures, collateral packages, and closing complex deals
Support leasing matters as needed
Manage and coordinate all aspects of C&I commercial finance closings

QUALIFICATIONS
Juris Doctor (J.D.) with excellent academic credentials
Admission to the New York and/or New Jersey Bar required; Florida Bar admission a plus
4 or more years of transactional and/or commercial finance experience specifically including C&I lending
Deep understanding of the Uniform Commercial Code (UCC), Florida-specific lending statutes, and asset-based lending and cash-flow-based credit facilities
Familiarity with UCC Article 9 secured transactions strongly preferred
Strong drafting, negotiation, and organizational skills
Ability to work independently, multitask effectively, and collaborate as a team player
