Corporate Governance Attorney

Corporate Governance Mid-Level Associate (3–6 Years)

A top global law firm is seeking a mid-level associate to join its Corporate Governance practice. This role focuses on high-level advisory and litigation matters, including fiduciary duties, special committees, shareholder activism, M&A, and Delaware Court of Chancery work.

Responsibilities:

• Advise boards, committees, and executives on complex corporate governance issues
• Support conflict transactions (e.g., going-private deals, MBOs)
• Assist with activism preparedness and governance reviews
• Advise on M&A structuring, disclosure, and litigation risk
• Draft board materials and legal memoranda
• Support Delaware Chancery litigation

Qualifications:

• 3–6 years at a major law firm with Delaware corporate law experience
• Strong knowledge of fiduciary duties and governance matters
• Experience with M&A or special committees preferred
• Excellent writing, analytical, and client management skills
