Capital Markets Associate Attorney AmLaw 50 Opportunity Compensation$310,000 – $390,000+
A premier global law firm is seeking a Capital Markets Associate Attorney to join its New York office.
This opportunity is ideal for an attorney interested in representing public companies, investment banks, private equity sponsors, issuers, and financial institutions in sophisticated capital markets and securities transactions.
Ideal Background• 3–6 years of capital markets, securities, or corporate transactional experience gained at a sophisticated law firm
• Experience representing public companies, investment banks, underwriters, issuers, private equity sponsors, and financial institutions
• Experience handling initial public offerings (IPOs), follow-on offerings, debt offerings, equity offerings, Rule 144A offerings, private placements, and other capital markets transactions
• Experience drafting and negotiating underwriting agreements, purchase agreements, registration statements, prospectuses, offering memoranda, indentures, and related transaction documentation
• Experience advising clients regarding SEC reporting obligations, corporate governance, securities law compliance, Exchange Act reporting, and public company disclosure matters
• Experience coordinating due diligence, transaction management, and complex domestic and cross-border securities offerings
• Strong drafting, negotiation, analytical, organizational, and communication skills
• Ability to independently manage sophisticated capital markets transactions while maintaining significant client interaction
• Excellent academic credentials
• J.D. from an ABA-accredited law school required
• New York bar admission required or ability to become admitted
