DescriptionWe are looking for an accomplished legal executive to serve as the organization’s principal advisor on legal and governance matters in Northern, Virginia. This role partners closely with senior leadership to shape business decisions, protect the company’s interests, and support growth initiatives across a diverse operational portfolio. The successful candidate will bring sound judgment, commercial insight, and the ability to translate complex legal issues into practical guidance for executives and stakeholders.Responsibilities:• Advise executive leadership and the Board on legal considerations tied to corporate strategy, governance, and major business decisions.• Lead legal support for acquisitions, financing matters, project-related transactions, and other strategic investments from structuring through closing.• Review, draft, and negotiate a wide range of commercial agreements to align contractual terms with business objectives and risk standards.• Establish legal frameworks that promote compliance with applicable regulations, internal policies, and industry requirements across company operations.• Provide counsel on employment-related matters, dispute resolution, and litigation strategy while coordinating and supervising external law firms as needed.• Identify potential legal and commercial risks early and recommend practical solutions that enable informed decision-making and operational continuity.• Support the formation, maintenance, and governance of corporate entities, including oversight of organizational records and related legal documentation.• Direct due diligence efforts for transactions and strategic initiatives by assessing liabilities, contract exposure, and regulatory considerations.Requirements• 10+ years of legal experience with substantial exposure to corporate, commercial, and transactional matters.• Demonstrated background advising businesses on commercial contracts, corporate entities, and complex agreement negotiation.• Strong knowledge of mergers and acquisitions, due diligence, corporate finance, and governance practices.• Experience supporting organizations in clean energy, distributed energy, or distributed energy resources environments is highly valued.• Ability to assess legal risk in a business context and provide clear, actionable recommendations to senior stakeholders.• Proven success managing outside counsel and overseeing litigation or dispute-related matters.• Excellent drafting, negotiation, and communication skills with the judgment to handle sensitive legal issues effectively.This is an excellent opportunity for a senior legal leader seeking a highly visible role with substantial influence on corporate strategy, transactions, and organizational growth#rhlp_dilJob typePerm
