Senior Paralegal - Real Estate and Corporate Governance

Position: Senior Paralegal - Real Estate and Corporate Governance Type: Direct Hire Location: San Jose, CA or Los Angeles, CA (On-Site) - Relocation required if not a commutable distance from either location Salary: $102K - $190K annually (DOE) About the Role Join California's largest water utility and the third-largest in the US as a Senior Paralegal in their vital Legal Department. As a full-time employee, you will work in a dynamic and impactful team of attorneys dedicated to providing comprehensive legal support across a multi-state enterprise. This is a unique opportunity to work autonomously on diverse real estate and transactional matters, corporate governance, litigation support, and essential legal operations. The ideal candidate will possess a well-rounded background from private practice, government/regulatory roles, or in-house legal experience. The work will encompass regulated utility transactions, multi-jurisdictional real property issues, corporate governance for a public company, and civil litigation, offering a rewarding profile that values breadth of expertise. Key Responsibilities Real Estate & Transactional (Primary Focus) Draft essential real property instruments such as Rights of Entry, Licenses, Easements, Leases, and Deeds. Prepare and review commercial agreements including Master Services Agreements (MSAs), Statements of Work (SOWs), and Non-Disclosure Agreements (NDAs). Conduct title and real property research utilizing public databases and commercial platforms. Oversee and manage escrow processes for real estate transactions. Synthesize and organize legal due diligence for real estate and M&A transactions. Maintain real estate and corporate transaction files efficiently. Corporate Governance & Compliance Assist with SEC reporting, corporate governance filings, and entity maintenance across multiple states. Support privacy compliance issues and document data governance. Contribute to labor and employment compliance documentation. Litigation Support Draft important legal documents such as demand letters, cease-and-desist letters, and litigation hold notices. Manage litigation holds and calendars effectively. Coordinate responses to subpoenas, discovery requests, and document requests in various legal proceedings. Research & Legal Operations Conduct legal research using LexisNexis, Westlaw, and government databases. Research statutes, codes, ordinances, and case law across various jurisdictions. Assist in managing outside counsel, overseeing billing, and reviewing invoices. Contribute to the development of internal policies and legal operations initiatives. Qualifications Required ABA-approved Paralegal Certificate. Bachelor's or Associate's Degree. 8+ years of paralegal experience, especially in real estate and corporate work. A mix of experience in private law firms, government agencies, or corporate in-house environments. Proficiency in drafting real property instruments and performing title research. Experience managing real estate escrows and transaction due diligence. Strong legal research skills with LexisNexis and/or Westlaw. Proficient in Microsoft Office Suite (Word, Excel, Outlook). Ability to manage confidential matters discreetly in regulated environments. Exceptional written and verbal communication skills, coupled with strong organizational abilities and attention to detail. A self-starter capable of managing a diverse and high-volume workload independently. Must be willing and able to work on-site in San Jose or Los Angeles, CA. Preferred Experience supporting SEC filings, corporate governance, or investor relations. Familiarity with privacy laws and data governance. Experience in multi-state real property research. Knowledge of outside counsel management systems (e.g., Legal Tracker, TyMetrix). NALA Certified Paralegal (CP) or NFPA PACE designation. Active California Notary Public License. Experience within regulated industries such as utilities, energy, telecom, finance, or government.
