Location:

New York City, NY – Hybrid schedule with three days in the office and flexibility to work remotely the remainder of the week.

Note:

Applicants must have graduated from law school approximately between 2019 and 2021, be admitted to the New York Bar, and possess at least 2 years of substantial corporate M&A experience gained at a law firm.

Job Description

• Draft and negotiate a broad range of M&A transaction documents, including purchase and sale agreements, merger agreements, joint venture agreements, shareholder agreements, and related transaction documents.
• Manage key aspects of sophisticated mergers, acquisitions, and corporate transactions.
• Analyze corporate and transactional legal issues while providing practical business-oriented advice.
• Conduct legal research related to corporate M&A matters as needed.
• Collaborate closely with partners, clients, opposing counsel, and internal teams throughout transactions.
• Prepare resolutions, certificates, side letters, and ancillary transaction documents.
• Maintain exceptional client service while managing multiple priorities in a fast-paced environment.

Qualifications

• JD from an accredited law school.
• Bachelor's degree.
• Admitted to practice law in New York.
• Approximately 2+ years of significant corporate M&A experience.
• Law school graduation approximately between 2019 and 2021.
• Strong drafting, negotiation, analytical, and communication skills.
• Stable employment history with reputable law firms strongly preferred.
• Ability to manage multiple complex transactions while maintaining exceptional attention to detail.
