The Associate General Counsel, Corporate & Verticals is a senior in-house role with broad strategic responsibility, you will be a trusted legal advisor to the General Counsel, executive leadership including the CEO, and a growing family of affiliated vertical companies spanning design-build, self-perform, technology, supply chain, global initiatives, artificial intelligence and real estate.You will handle significant, complex matters from day one, with the autonomy to lead and the support of a collaborative team that genuinely cares about each other’s success. Boston is the preferred base; exceptional candidates who prefer New York City should apply with the understanding that regular travel to Boston headquarters is expected. Relocation assistance is available.ResponsibilitiesLegal Advisory & Client ServiceServe as a responsive, practical legal advisor to internal clients across Suffolk and its vertical affiliates on a wide range of daily legal and business mattersProvide clear, actionable guidance, verbal and written, under time pressure and in ambiguous situationsConduct training on legal and compliance topics across the organizationContracts & TransactionsNegotiate and draft a wide range of agreements: NDAs, site access, subcontracts, indemnity, consulting and professional services agreements, real estate contracts and leases, and other complex instrumentsSupport new business development by reviewing RFPs and bidding documents across public and private construction projectsCorporate Governance & RegulatoryAdvise on corporate matters and oversee all corporate, regulatory, and government filings (annual reports, operating agreements, etc.) across all relevant Suffolk entitiesSupport entity licensing nationally across jurisdictions and sectors including Gaming, Data Centers, Healthcare, Education, and GovernmentEnforce existing SOPs and lead the development, drafting, and implementation of new compliance procedures as the business evolvesAssist developing and implementing AI based legal solutions across the enterprisCross-Functional LeadershipCollaborate regularly with Executive Office, Finance, Accounting, People & Culture, and Compliance teamsManage outside counsel relationships, including strategy, budgets, and performanceSupport HR matters and investigations; assist with complex litigation on behalf of internal clients as neededQualificationsJ.D. from an accredited law school; strong academic credentialsActive bar admission in Massachusetts or New York, or a state with reciprocity10 plus years of experience in a corporate legal department and/or major full-service law firmPrior experience in compliance, construction, real estate, or a related industry is highly preferredMeaningful complex litigation experience is a significant plusDemonstrated ability to manage complex multi-party mattersBeyond credentials, we are looking for a lawyer who is:A self-starter and collaborator—equally comfortable leading independently and working as part of a close teamIntellectually curious and energized by new and evolving areas of law and businessCalm under pressure, with sound judgment and the ability to make clear decisions in ambiguous situationsAn outstanding communicator—strong writer, confident public speaker, and trusted advisorDetail-oriented with meticulous written work productInnovative in approach—willing to explore creative solutions to traditional legal and business problemsDemonstrated integrity and a commitment to leading by exampleWilling to travel periodically to project sites and offices across the countryEducation & LicensureBachelor’s degree from a four-year college or university (required)Juris Doctorate from an ABA-accredited law school (required)Bar admission: Massachusetts or New York, or a reciprocal stateWorking ConditionsWhile performing the duties of this job, the employee is regularly required to sit for extended periods of time; talk or hear; perform fine motor, hand, and finger skills in the use of a keyboard, telephone, or writing. Base Salary for this position is just one component of Suffolk’s total rewards package for employees.
