Position Overview The In-House Legal Counsel serves as a strategic and trusted advisor to the organization, providing comprehensive, business focused legal guidance to support operations, mitigate risk, and ensure compliance with applicable laws and regulations. This role works closely with senior leadership and cross-functional stakeholders to review contracts, assess legal exposure, structure and negotiate agreements, develop policies, and support strategic initiatives. The In-House Counsel is responsible for managing a broad range of day-to-day legal matters while proactively identifying emerging risks and opportunities that may impact the company’s interests and objectives. The ideal candidate is a proactive, solutions-oriented attorney with strong judgment, excellent communication skills, and the ability to balance legal requirements with business priorities in a fast-paced environment. Competencies Strong knowledge and foundation in contract law, corporate governance, and regulatory compliance (eg FDA and in particular medical devices). Excellent drafting and negotiating skills and in particular with commercial agreements: supply, R&D, manufacturing, distribution etc. Ability to manage multiple conflicting priorities in a fast-paced, cross-functional environment Ability to succinctly and professionally provide sound legal advice and commercial solutions in a timely manner to all levels of the business Business-oriented mindset with a focus on enabling growth while managing risks Excellent written and verbal communication, negotiation, and stakeholder management skills. High level of professionalism, integrity, and discretion. Effective team player or leader depending on the project. Requirements Juris Doctor (JD) from an accredited law school Active bar membership in at least one U.S. jurisdiction, preferably Texas A minimum of 7 to 8 years of experience in commercial transactional law, including drafting and negotiating both simple and complex contracts agreements Prior in-house legal experience supporting medical device and/or pharmaceutical company preferred. Work Environment Indoors, in an office environment, with temperature control. No adverse environmental conditions expected. 0-10% Travel Physical Demands Sedentary work. Exerting up to 15 pounds of force occasionally and/or negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects. Repetitive motion. Substantial movements (motions) of the wrists, hands, and/or fingers. The worker is required to have close visual acuity to perform an activity such as: preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading; the ability to operate standard office equipment and keyboards.
