We're looking to expand our team across the board.York is seeking an experienced securities and corporate governance paralegal to assist with regulatory filings, corporate governance, insider trading administration, and board management. This role is ideal for a detail-oriented, proactive professional who thrives in a fast-paced corporate environment and enjoys partnering closely with cross-functional teams. It is onsite at York's Greenwood Village office.Responsibilities:Assist in establishing and maintaining board and committee meetings calendarManage administrative aspects of the company's insider trading policy, including maintaining and updating York's trading window calendar and organizing preclearance process documentsSchedule compliance training and maintain related recordsAssist in the preparation of SEC filings, such as 10-Q, 10-K, Section 16, and Rule 144 filings; facilitate associated disclosure control processesPrepare and distribute Director & Officer Questionnaires annually (more frequently, if needed), ensuring individuals complete and clarify information in a timely mannerManage deadlines associated with controlled company status (such as audit committee independence time limits)Coordinate, manage, and support the company's annual general meeting of stockholders, engaging with internal team members as well as external partners, as requiredCompile quarterly internal updates for the legal team, help prepare dashboard slides for the board and committeesCoordinate assembly and distribution of board and committee meeting materials, including agendas, meeting books, resolutions, and minutes of prior meetingsAssist in drafting reports and presentations for board committees and executive leadersSupport overall maintenance of the company's electronic board portal, Diligent, inclusive of meeting minute books, resolutions, and resource materialsSupport internal audit activities, such as records management and trainingConduct research on corporate governance trends and best practicesMay also:Support maintenance of additional databases, such as stock ledger and equity managementGather and track due diligence information as needed for M&A transactions or financingsSupport subsidiary business entity documentation and compliance mattersSupport special projects or other department tasksOther duties in support of the department, as may be requestedQualifications:• Bachelor's degree • 5+ years of corporate or securities paralegal experience, ideally including managing proxy seasons • Strong knowledge of SEC reporting requirements and corporate governance practices • Experience with board management portals and equity administration platforms a plus • Exceptional attention to detail, superior organizational skills, and the ability to manage multiple priorities• Excellent written and verbal communication skills and the ability to manage multiple priorities • Professional demeanor and communication style, ability to work independently, maintain confidentiality, and demonstrate sound judgmentBenefits In addition to compensation, York Space Systems is proud to offer a comprehensive benefits package including medical, dental, and vision insurance along with PTO and a 401K.
