Assistant General Counsel—Corporate Law

The Assistant General Counsel—Corporate Law is responsible for providing comprehensive legal support to the organization. This includes contract negotiations, corporate governance, corporate structure, regulatory compliance and M&A support. This role requires a team player with a practical commercial approach to risk management, a strong work ethic, and a desire to lead a broad spectrum of legal projects. This position also requires a desire to work on a variety of other legal projects including process optimization, template governance, M&A integration, internal policy development, regulatory and due diligence, legal technology implementation and management, and other strategic initiatives. This role develops negotiation strategies with internal business partners, evaluates risk exposure, and makes recommendations to business partners.

Responsibilities Include:

• Draft, review, and negotiate broad variety of contracts, including technology-related agreements, product supply agreements, customer contracts, bid documents and service agreements.
• Advise and provide solutions to internal business clients.
• Provide legal advice (including through coordination of outside counsel support) regarding contract disputes, corporate governance, AI and compliance matters.
• Work with leaders in Sales, Supply Chain, Merchandising, and other internal personnel to identify and mitigate risks.
• Maintain streamlined, organized and efficient policies and procedures for contracts, including establishing playbooks, and standard template language to be used in contracts.
• Work effectively with senior management to create strong trusted advisor relationships with business leaders, provide practical advice, facilitate creative problem-solving and informed decision-making.
• Recruit and manage team of contract specialists.

Industry Specific Knowledge & Skills

• Expert knowledge of commercial contract law, procurement agreements, supplier contracts, bid processes including public procurement compliance, and distribution arrangements.
• Demonstrated ability to draft, negotiate, and administer complex commercial agreements with customers, suppliers, transportation providers, and strategic partners.
• Strong understanding of supply chain operations, sourcing strategies, inventory management, logistics, warehousing, and distribution networks.
• Expertise in identifying, assessing, and mitigating legal and business risks while supporting organizational objectives.
• Working knowledge of corporate governance principles, M&A issues, real estate matters, data privacy laws, and regulatory compliance requirements.
• Strong project management capabilities and ability to manage multiple high-priority matters in a fast-paced environment.
• Proven ability to support acquisitions, integrations, and organizational growth initiatives.

The Ideal Candidate Will Have:

• J.D. from an accredited law school
• Active state bar membership
• 5-15+ years of corporate/commercial law experience
• Significant experience negotiating procurement, distribution, logistics, customer and/or supplier agreements
• Strong background in corporate governance, corporate structures, and entity management.
• Experience implementing and managing legal technology solutions, including CLM and AI platforms or add-ons.
• In-house and M&A experience preferred
