Capital Markets Mid-Level Associate Attorney
Preferred Locations: Houston, TX or New York, NY
Compensation: $310,000 – $390,000 base salary (commensurate with experience)

Direct Counsel is seeking a Capital Markets Mid-Level Associate Attorney to join a top-tier national law firm’s Capital Markets and Securities practice .

The ideal candidate will have 3–6 years of experience at a large law firm working on public and private debt and equity offerings , as well as Securities Exchange Act of 1934 reporting . Candidates should also have experience advising clients on day-to-day governance matters, including SEC and stock exchange compliance, public company disclosure obligations , and other business and transactional matters.

Key Responsibilities Include:

• Representing issuers and underwriters in IPOs and follow-on public offerings

• Advising public and private companies in PIPE transactions, mergers and acquisitions, SEC reporting, and corporate governance matters

• Drafting and negotiating offering documents, disclosure filings, and related securities documentation

• Providing guidance on SEC compliance, stock exchange rules, and corporate governance matters

Qualifications:

• 3–6 years of relevant capital markets and securities experience at a large law firm

• Strong drafting, analytical, and client communication skills

• Excellent academic credentials

• Admission to the state bar of your preferred office location (required)
