Senior Corporate Counsel - IT Transactions

Job Summary Senior Corporate Counsel – IT Transactions – New York, NY or Edison, NJ. Onsite presence 5 days a week at the TCS office in either location is required. Salary range $175,000 – $220,000 per year. Responsibilities Review, draft and negotiate inbound and outbound procurement, sales, and revenue‑generating agreements. Review, draft and negotiate complex IT services and outsourcing agreements, including Master Outsourcing Agreements, Professional Services Agreements, Bids and RFPs, Statements of Work, subcontracting agreements, software licensing, reseller agreements, NDAs, and SOWs. Desired Skills & Experience At least 11 years of relevant experience structuring, negotiating and drafting outsourcing, IT and services contracts as a service provider/vendor. Experience working with sales teams in the technology and outsourcing industry. Ability to work independently, be self‑motivated and possess excellent organizational, communication, and problem‑solving skills. Pragmatic approach to minimize redlines. Strong negotiation skills with the ability to understand the customer perspective and reach solutions that protect the organization’s interests. Thrives in a fast‑paced environment with multiple clients and stakeholders. Experience incorporating feedback from internal stakeholders such as HR, Information Security and Finance into documents. Capable of taking a deal from the RFP stage to signatures independently with minimal supervision. Education & Licensing Juris Doctorate (JD) from an accredited law school or equivalent law degree from an international legal education institution, with strong academic credentials. Must be, or eligible to be, licensed in good standing to practice law within the US. Location Manhattan, New York or Metropark, Edison, New Jersey.
