Finance (Corporate Debt) Associate Attorney

Direct Counsel is seeking a Finance (Corporate Debt) Associate Attorney to join a highly regarded Am Law 100 firm in New York, New York or Los Angeles, California .

This is an exceptional opportunity for an attorney with experience in commercial finance and corporate lending to join a nationally recognized finance practice representing borrowers, private equity sponsors, financial institutions, and other market participants in sophisticated financing transactions.

Key Responsibilities

• Represent borrowers in a wide range of commercial finance transactions.

• Structure, negotiate, and document syndicated lending and secured lending transactions.

• Advise clients on borrower-side private equity-sponsored and non-sponsored asset-based and cash flow credit facilities.

• Draft and negotiate credit agreements, security documents, and ancillary financing documentation.

• Collaborate with multidisciplinary teams to manage complex financing transactions from inception through closing.

• Manage multiple transactions while providing practical, business-focused legal advice.

Qualifications

• J.D. from an accredited law school with excellent academic credentials.

• Active Bar membership in good standing.

• Experience representing clients in syndicated lending, secured transactions, and commercial finance matters.

• Experience with borrower-side private equity-sponsored and non-sponsored asset-based and cash flow credit facilities.

• Experience with debt capital markets instruments is a plus.

• Strong drafting, negotiation, analytical, and project management skills.

• Excellent written, verbal, and interpersonal communication abilities.

Compensation & Benefits

• Base salary: $225,000–$310,000 (New York and Los Angeles salary range; compensation will depend on experience, qualifications, and office location).
