Corporate Paralegal III

Job Description: This is a hybrid, temporary position that will report at least twice per week to the headquarters in Ohio. This person will be responsible for temporarily supporting various strategic corporate transactions, including venture capital investments, registered debt offerings, merger and acquisition transactions. Responsibilities: Support corporate transactions, including data room management, due diligence coordination, due diligence review and documentation, drafting signing and closing deliverables, managing internal approval, signing and closing mechanics, and supporting related post-closing matters. Draft and review disclosure schedules and transactional documents, assist with antitrust and other regulatory filings, assist with post-closing integration matters for the legal function, and coordinate legal matters for other business units. Assist in the development and maintenance of transaction playbooks, diligence frameworks, closing checklists, integration playbooks, precedent documents, templates, and other process documentation to support future corporate transactions, strategic initiatives, and legal operations. Collaborate with cross-functional teams and coordinate with outside counsel and advisors. Coordinate with signatures for transactional documents and SEC filings and notarize various documents when needed. Conduct research on related matters, including corporate statutes (including Ohio and Delaware). Support compliance with NYSE and SEC requirements applicable to directors, executive officers, and other insiders, including preparation and filing of Section 16 reports; equity ownership calculations; and maintenance of process documentation, policies, manuals, templates, and compliance tools. Support SEC EDGAR filing code maintenance. Requirements: 8+ years related experience in a legal environmentBachelor's degree or higher, or a paralegal certificateTechnical skills in Microsoft Excel, Microsoft OneDrive, Microsoft Teams, SharePoint and PlannerDemonstrated ability to perform sophisticated legal research and analysisExpert user of electronic research tools such as IntelligizeProficiency in navigating online data rooms (e.g., IntraLinks)Extensive experience with corporate transactions, including equity or debt investments and offerings, venture capital transactions, and merger and acquisition transactionsSubject matter expertise in Ohio and/or Delaware corporate lawStrong project or transaction management skills, including the ability to coordinate multiple stakeholders, manage competing priorities and track deliverables across complex projectsStrong written and verbal communication skillsExperience with Section 16 filings and related public company requirements (preferred) Pay Range: The anticipated pay range for this position is $37.00 - $40.00 per hour.
