This role offers competitive compensation based on experience + a comprehensive benefits package that includes health insurance, paid time off, and retirement benefit.Responsibilities:• Provide legal counsel on business formation, transaction structuring, and compliance with relevant regulations.• Draft, review, and negotiate contracts, shareholder agreements, and other legal documents.• Assist clients in mergers and acquisitions, securities offerings, and private placements.• Collaborate with estate planning professionals on succession planning matters.• Conduct analysis of debt structures and advise on banking and credit facilities.• Develop practical solutions to complex legal challenges for clients in various industries.• Represent clients at local, national, and international levels in business-related matters.• Ensure compliance with corporate governance standards and regulatory requirements.• Support clients in the development of equity incentive plans and other financial agreements.• Stay updated on legal trends and apply insights to improve client outcomes.Requirements• Juris Doctor (JD) degree with active membership in the state bar.• Minimum of 5 years of experience practicing business law, ideally within a law firm.• Strong expertise in entity formation, mergers and acquisitions, and corporate contracts.• Excellent drafting, negotiation, and communication skills.• Proven ability to manage complex legal transactions and deliver results in a fast-paced environment.• Familiarity with securities offerings, private placements, and succession planning is highly desirable.• Demonstrated ability to work collaboratively with multidisciplinary teams.• Commitment to providing client-focused and cost-effective legal solutions.Job typePerm
