Corporate Attorney

We are looking for an experienced Corporate Attorney to join a legal team in Garden City, New York. This position focuses on sophisticated corporate matters, including mergers and acquisitions, strategic transactions, and ongoing counsel for privately held businesses. The attorney in this role will take ownership of complex matters, guide deal teams through each phase of a transaction, and deliver practical legal advice aligned with client objectives.Responsibilities:• Lead mergers and acquisitions and other multifaceted corporate matters from initial planning through closing and follow-up activities.• Prepare, review, and negotiate principal transaction agreements and supporting documents with careful attention to legal and business risk.• Provide guidance on privacy, data protection, and related regulatory issues that may affect transactional strategy and execution.• Advise closely held companies and business owners on entity governance, ownership matters, and broader corporate legal concerns.• Direct due diligence efforts, evaluate transaction structures, and coordinate all steps required to complete deals efficiently.• Oversee and mentor entry-level attorneys and legal support staff while maintaining high-quality work across active matters.• Serve as a primary point of contact for clients, outside counsel, and other transaction participants, offering clear and commercially sound recommendations.
