Temp-to-Hire Opportunity
In-House Legal Department in Downtown Miami
Starts Right Away

We are currently recruiting for a top-level company involved in venture capital and related business operations. They are seeking an experienced Paralegal to join their Miami office, supporting the General Counsel and in-house legal team.

This is a Temp-to-Hire, fully onsite position offering the opportunity to work in a sophisticated and niche corporate environment.

Responsibilities:

• Maintain corporate records, entity filings, annual reports, registered agents, foreign qualifications, DBAs, and certificates of good standing.
• Prepare and review non-commercial agreements using approved templates and coordinate documents through execution.
• Draft and maintain corporate governance documents, including resolutions, written consents, operating agreements, bylaws, and ownership records.
• Maintain capitalization tables, organizational charts, and corporate/governance calendars.
• Prepare board and committee materials, including notices, agendas, minutes, and resolutions.
• Coordinate with outside counsel on litigation, collections, subpoenas, discovery, and other legal matters.
• Gather documents and information from internal departments for outside counsel and active legal matters.
• Assist with customer-related legal matters, regulatory filings, licensing, permits, and compliance.
• Review customer communications and marketing materials against counsel-approved guidelines.
• Maintain legal department records, including insurance, intellectual property, document retention, and legal requests.
• Manage the legal department’s document management systems and serve as a point of contact for matters requiring legal review.
• Conduct legal and factual research and prepare summaries for attorney review.
• Perform other duties as assigned by the General Counsel.

Qualifications:

• Current Certified Paralegal, Registered Paralegal, Core Registered Paralegal, or Professional Paralegal with a nationally registered certifying organization is preferred.
• 3–5 years of paralegal experience in corporate / transactional law, either in-house or with a corporate law firm.
• Experience with corporate entity management, governance, contracts, and state filings.
• Strong knowledge of Microsoft Word, Excel, Outlook, and Adobe Acrobat, including redlining.
• Experience with e-signature and document/contract management systems; familiarity with platforms such as DocuSign, Ironclad, Agiloft, Carta, Diligent, CSC, or CT Corporation is a plus.
• Excellent written and verbal communication skills and exceptional attention to detail.
• Ability to manage multiple priorities, meet deadlines, work independently, and maintain strict confidentiality.
