Corporate Legal Counsel (Capital Markets)

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Corporate Legal Counsel (Capital Markets) based in United States.

This is a high-impact legal role supporting complex capital markets and structured finance activities in a fast-paced financial services environment.
You will partner closely with business and capital markets teams on transactions involving consumer lending products and institutional investors.
The role combines transactional execution, contract negotiation, strategic legal advice, and ongoing commercial relationship support.
You will work across credit facilities, securitizations, loan sales and servicing, debt sales, and banking partnerships.
The position offers substantial exposure to senior stakeholders and opportunities to shape practical solutions to sophisticated legal and business challenges.
You will also contribute to broader operational, marketing, and strategic matters while collaborating with a wider legal team.
Success in the role requires strong judgment, ownership, communication, and the ability to balance legal risk with commercial objectives.

• Provide practical and creative legal guidance for complex capital markets transactions, including credit facilities and securitizations.

• Draft, review, negotiate, and manage transaction documents related to institutional loan sales, servicing arrangements, and consumer lending assets.

• Advise capital markets stakeholders on non-disclosure agreements, engagement letters, transaction agreements, and other commercial documentation.

• Negotiate agreements with existing and prospective clients, including leverage provider agreements, account control agreements, asset transfer agreements, and backup servicing arrangements.

• Provide ongoing legal interpretation of existing agreements and support communications with clients and counterparties.

• Track investor relationships and monitor contractual obligations, requirements, and key provisions across investor agreements.

• Coordinate and execute transaction closings, ensuring documentation and legal workstreams are completed accurately and on schedule.

• Support collections and recoveries activities by facilitating debt sale transactions and managing related agreements and documentation.

• Manage and negotiate contracts and ongoing commercial relationships with banking partners, including program agreements, amendments, and ancillary arrangements.

• Advise business stakeholders on related strategic, operational, and marketing matters.

• Support other commercial contracting and legal matters as needed.

• Build trusted relationships across legal, capital markets, operations, and business teams while independently managing multiple priorities.

Requirements

• 4+ years of legal experience gained in a law firm and/or in-house environment, with progressively increasing responsibility.

• Experience in capital markets and structured finance, including familiarity with secured lending or comparable transactional matters.

• Demonstrated experience leading transactional negotiations and managing complex legal workstreams.

• J.D. degree and active membership in good standing with a state bar.

• Strong understanding of transactional documentation, commercial contracts, and legal risk management.

• Excellent judgment, with the ability to balance legal considerations against practical business objectives.

• Strong interpersonal and collaboration skills, with the ability to advise stakeholders at different levels in a fast-moving environment.

• Demonstrated ownership, initiative, and ability to resolve issues independently with limited supervision.

• Exceptional attention to detail, organization, and ability to manage multiple concurrent projects.

• Strong written and verbal communication skills, including the ability to provide clear and persuasive legal guidance.

• Ability to adapt to an evolving business environment and develop practical solutions to complex problems.

Benefits

• Annual salary range of $165,000–$241,000 , with actual compensation determined by location, experience, and other job-related factors.
