Capital Markets Senior Associate Attorney

A leading global law firm is seeking a Senior Level Associate Attorney with approximately 4–6+ years of capital markets and securities experience to join its Capital Markets practice in Los Angeles.

This is an opportunity to work within a Chambers-ranked, West Coast capital markets team known for its high-end issuer-side and underwriter-side work, sophisticated deal execution, and strong client relationships across public and private companies, investment banks, and REITs.

The Capital Markets practice advises clients on a full range of equity and debt securities transactions and complex corporate matters. The group is widely recognized for handling high-profile, market-moving transactions and for providing creative, business-oriented solutions to complex structuring issues.

Attorneys in this group work closely with leading public companies, financial institutions, and sponsors on sophisticated financing and disclosure matters, often in fast-paced, high-value transactions.

• Lead and support capital markets transactions across equity and debt offerings
• Advise on IPOs, follow-on offerings, private placements, and at-the-market transactions
• Handle investment-grade debt, high-yield debt, and convertible securities offerings
• Structure and execute complex transactions including tender offers, exchange offers, consent solicitations, rights offerings, spin-offs, and recapitalizations
• Advise on securities law compliance, disclosure obligations, and corporate governance issues
• Work closely with underwriters, issuers, and institutional investors on transaction execution
• Manage deal workstreams and take increasing responsibility for components of transactions
• Collaborate with attorneys across offices and practice groups on cross-border and multi-disciplinary matters

• 4–6+ years of experience in capital markets and securities transactions at a law firm
• Strong experience with IPOs, equity offerings, and debt capital markets transactions
• Experience advising on public company reporting and corporate governance matters
• Strong drafting, negotiation, and analytical skills
• Ability to manage workstreams independently and operate in fast-paced deal environments
• High level of academic achievement and strong law firm experience
• Active member of the California Bar or eligible to waive in

The expected base salary range for this position is $390,000 – $435,000 annually , with eligibility for a discretionary year-end bonus. Compensation will be determined based on experience, skills, and other job-related factors consistent with applicable law.
