Financial Due Diligence Consultant
Contract to hire · Operating Partner pathway (CFO / finance track)
You will test whether a target's earnings, cash flow, and debt are what management says they are. Your quality-of-earnings work sets the price and shapes the post-close finance plan.
What you'll do

• Build quality-of-earnings analyses: normalize EBITDA and quantify add-backs and one-time items.
• Examine historical earnings, cash conversion, and net working capital trends; propose a working capital peg.
• Identify debt and debt-like items, off-balance-sheet obligations, and contingent liabilities.
• Verify reporting accuracy: revenue recognition, cut-off, reserves, and accounting policies.
• Tie financial results to operating drivers such as yield, throughput, pricing, and inventory.
• Stress-test management projections with scenario and sensitivity analysis.
• Feed findings into the purchase agreement, valuation model, and lender package.
• After close, set up the 13-week cash forecast, KPI reporting, and finance integration.

What you bring

• 7+ years in transaction services, audit, or corporate finance; 3+ years of buy-side or sell-side diligence.
• CPA or CA strongly preferred; CFA or MBA a plus.
• Expert Excel and financial modeling; experience with data rooms and analytics tools.
• Knowledge of US GAAP; IFRS a plus for cross-border deals.
• Industrial, manufacturing, or PE portfolio company background preferred.

Operating Partner path: interim CFO or finance lead post-merger, driving cash, margin, and exit-ready reporting.
