About the Opportunity We are recruiting on behalf of a prestigious Am Law 100 firm seeking a talented Mid-Level Corporate Associate to join its growing Emerging Companies & Venture Capital practice in New York City. This is an exceptional opportunity for an attorney who enjoys working directly with startup founders, executives, venture capital investors, and emerging growth companies. The position offers exposure to sophisticated transactions, significant client-facing responsibilities, and the opportunity to build a long-term practice within a nationally recognized law firm.

Responsibilities

• Represent emerging companies, startups, and investors in venture capital financings, from seed and Series A through later-stage rounds.
• Draft, review, and negotiate financing agreements, SAFEs, convertible notes, and other corporate transaction documents.
• Advise clients on entity formation, corporate governance, and general corporate matters.
• Manage significant portions of transactions from initial negotiations through closing.
• Work directly with founders, executives, venture capital firms, and private equity investors.
• Collaborate with attorneys across the firm's national offices on complex transactions.
• Assist with startup M&A, growth-stage financings, and other corporate transactions.

Qualifications

• 3+ years of corporate transactional experience, with a strong focus on emerging companies and venture capital.
• Demonstrated experience handling venture capital financing transactions across multiple funding stages.
• Strong drafting, negotiation, and transaction management skills.
• Ability to independently manage substantial portions of transactions.
• Experience working directly with startup founders, executives, and investors.
• Excellent communication, analytical, and client relationship skills.
• Admission to the New York Bar or eligibility for admission.

Preferred Skills

• Experience with SAFEs, convertible notes, venture fund formation, or startup M&A.
• Existing relationships within the startup and venture capital community.
• Interest in developing a personal book of business.

Pay range and compensation package

• Base Salary: $240,000–$280,000, based on experience and merit.
