Assistant Legal Counsel

JOB SUMMARY: The Assistant General Counsel is a senior attorney providing broad-based legal advice and services to Mason Companies for a diverse range of activities, under the direction of the Vice President and General Counsel. PRIMARY DUTIES AND RESPONSIBILITIES: The below listing of essential functions is not an inclusive listing of all duties that may be requested to be performed by supervisor or manager. Under the supervision of the General Counsel: Provide advice, support and assistance with a broad range of legal issues, including contracts, transactions, marketing, risk management, employment, and compliance matters Monitor, research and assess applicable and developing compliance requirements for the Company Provide clear, concise, accurate, timely and practical compliance advice and support to management and employees of the Company Partner with the General Counsel on compliance program development, governance, regulatory compliance and risk strategies Develop and improve applicable policies, procedures and guidelines Deliver compliance training and manage employee participation and records Monitor the Company’s compliance hotline and provide appropriate reporting Conduct or support internal compliance investigations as directed Coordinate compliance testing, surveillance, auditing, evaluation and remediation Support alignment of the Company’s compliance program with compliance initiatives of the Company’s external partners Manage the preparation, filing, tracking and renewal of regulatory applications, licenses, renewals, notices and other filings Develop strong working relationships across the Company and support cross-functional teams as directed Instruct, manage and otherwise interact with outside legal counsel as appropriate and authorized to promote high quality, cost-effective, responsive external legal services Produce professional quality, efficient, creative, practical, and responsive legal services for novel, complex, and continually changing legal issues SECONDARY DUTIES AND RESPONSIBILITIES: The below listing of additional functions is not an inclusive listing of all duties that may be required to be performed. Under the supervision of the General Counsel: Support judicial and regulatory proceedings, including litigation, arbitration, investigations, and negotiations Support insurance and related risk management activities, in coordination with the Finance Department Support labor and employment activities, in coordination with the Human Resources Department Support incident response and remediation activities, including security breach incident response, in coordination with the Information Technology Department Perform other tasks as assigned EDUCATION AND EXPERIENCE: Juris Doctor (J.D.) degree required State bar admission in good standing required Relevant compliance certifications preferred Must reside in the United States Minimum of 5 years of legal experience Mix of law firm and in-house legal experience preferred In-house legal experience with a financial institution preferred Significant contract drafting skills and experience Experience supporting compliance programs, including risk assessments, policy development and remediation Experience conducting compliance investigations preferred Demonstrated experience with financial and consumer protection laws, including federal banking laws, ECOA, TILA, GLBA, FCRA, UDAAP, AML, OFAC, and state credit, fraud, privacy and other consumer protection laws Familiarity with relevant legal technology, including contract management, compliance, legal research, AI, automation, and other solutions KNOWLEDGE, SKILLS, AND ABILITIES: Self-starter willing to assume responsibility for tasks, to learn new legal areas, and to demonstrate commitment to continuous improvement and to upholding the highest personal, professional and Company values Excellent attention to detail with the ability to prioritize and effectively manage multiple competing projects Impeccable integrity, discretion, and ability to handle confidential and sensitive matters.
