Senior Paralegal, Securities and In‑House Corporate Governance Location: Franklin Lakes, New Jersey (Monday through Thursday on site, Friday remote) Salary: $95,000 to $145,000 (Bonus eligible) Company: Fortune 500 Medical Equipment / Devices Manufacturing Firm Ideal Candidate Must have in‑house corporate governance experience Can have bachelor's degree or paralegal certificate from an accredited institution Role Overview The position supports the Corporate Secretary’s office in day‑to‑day operations and provides legal support on public company securities reporting and corporate governance compliance. Responsibilities include the following: Assist with developing materials presented to Board and committees (agendas, resolutions, corporate governance reviews, director independence, related‑party transactions) Support preparation and filing of SEC documents including Forms 8‑K, 10‑Q, 10‑K, and proxy statement Support tracking insider stock holdings and assist with preparing and filing Section 16 reports (Forms 3, 4, and 5) Prepare and review D&O questionnaires Prepare timeline for proxy statement and work with third‑party vendors for proxy preparation and solicitation process Perform benchmarking and research on securities and governance matters Prepare filings for NYSE compliance Interact with cross‑functional stakeholders at all levels, including senior executives and HR, investor relations, and finance teams on corporate and compliance matters Serve as primary contact with the transfer agent and assist with shareholder‑related issues Assist in the execution of Board and committee meetings Assist with other governance and shareholder‑related matters, including policies and procedures, insider trading procedures, executive and director compensation Help review and update content and legal policies for corporate governance compliance Perform other related duties as required, including liaising with other departments as needed Requirements Bachelor’s degree or paralegal certificate from an accredited institution Minimum of 8 years in‑house corporate governance experience Proficient with Microsoft Office suite and willingness and ability to learn new corporate governance and other software tools Strong written and verbal communication skills Experience being proactive, self‑driven with capacity to work autonomously in a dynamic environment Interpersonal skills and experience working collaboratively with cross‑functional partners at all levels Attention to detail and organizational problem‑solving skills Excellent work ethic and high degree of professionalism, proven ability to work independently and within a team Ability to multi‑task and work in a fast‑paced, changing environment and balance multiple concurrent projects #J-18808-Ljbffr Intermedia Group Inc.
