Corporate Contracts Specialist

Description Scali Insurance Group is seeking a detail-oriented Corporate Contracts Specialist to draft, review, revise, and manage contracts across the business, with a primary focus on mergers & acquisitions activity, including purchase agreements, asset/stock purchase agreements, and related transaction documents supporting SIG's growing network of insurance agencies. This role also supports Managing Director agreements, employment agreements, and other business contracts as needed. This position partners with corporate leadership, Finance, Operations, Human Resources, and legal counsel to ensure agreements accurately reflect approved business terms, deal structures, and responsibilities. The ideal candidate is a strong writer with 5-10 years of experience who can manage complex transaction documents, maintain consistency across agreements, and coordinate deals from initial term sheet through closing. Key Responsibilities Draft, review, and revise contracts across all areas of the business, including Managing Director agreements, compensation appendices, independent contractor agreements, vendor and service agreements, confidentiality agreements, and related amendments. Support mergers & acquisitions activity, including drafting and reviewing purchase agreements, asset/stock purchase agreements, letters of intent, and related transaction documents; assist with due diligence review of target agency contracts and records. Partner with Human Resources, Finance, Operations, agency leadership, and other stakeholders to understand business needs and accurately document approved terms. Translate business and compensation arrangements into clear, consistent contract language using approved templates and legal guidance. Review contracts provided by vendors and other external parties, identify questions or deviations from company standards, and coordinate business and legal review. Confirm the accuracy of legal entity names, parties, effective dates, responsibilities, payment terms, and other essential provisions. Review agreements for completeness, clarity, internal consistency, and alignment with approved business terms and supporting documents. Identify conflicting provisions, nonstandard terms, and matters requiring legal interpretation, and coordinate resolution with leadership and legal counsel. Support acquisition and integration activities by preparing and reviewing agreements and related documents for incoming agencies and their leaders. Serve as a point of contact for outside counsel, coordinating document requests, deadlines, and communication flow on active contract and transaction matters. Assist with compliance-related tasks, including monitoring compliance deadlines, supporting regulatory filings and audits, and helping maintain company policies and procedures. Manage contract requests, deadlines, revisions, internal approvals, and electronic signature workflows. Maintain organized contract records, version history, supporting approvals, and executed agreements. Track contractual milestones, including renewal dates, expiration dates, notice deadlines, and scheduled compensation changes, as applicable. Develop and maintain approved templates, standard language, intake processes, and tracking tools to improve consistency and efficiency. Handle confidential business, financial, acquisition, compensation, and personnel information with discretion. Requirements Required Qualifications 3+ years of experience in contract drafting, contract administration, M&A/transactional support, or corporate legal support. 3+ years of experience preparing employment agreements, compensation agreements, or similarly complex business documents. Excellent writing and editing skills, with the ability to express detailed business terms clearly and consistently. Ability to understand and accurately document salary, commission, bonus, and performance-based compensation arrangements. Strong attention to detail and the ability to identify discrepancies across agreements and supporting materials. Excellent organizational skills and the ability to manage multiple agreements and deadlines. Strong communication skills and sound judgment when clarifying terms or escalating issues. Proficiency in Microsoft Word, including Track Changes, document comparison, and template formatting. Experience with electronic signature platforms and document management systems. Preferred Qualifications Bachelor's degree in legal studies, business, English, or a related field, or equivalent relevant experience. Paralegal certificate or experience supporting corporate legal counsel preferred. Experience with M&A transactions, executive compensation, acquisition-related employment arrangements, or multiple legal entities. Familiarity with insurance agencies or other professional services organizations. Familiarity with regulatory compliance frameworks relevant to insurance agencies. Measures of Success Agreements accurately reflect approved terms and are completed within established timelines. Documents require minimal corrections during internal and legal review. Outstanding questions and nonstandard provisions are identified and escalated promptly. Stakeholders have clear visibility into agreement status and pending approvals. Executed agreements, templates, and supporting records remain current, organized, and accessible. Scope of Authority This role prepares and administers agreements within established company approval processes. Matters requiring legal interpretation or changes to approved legal provisions are referred to designated legal counsel. Final approval and signature authority remain with authorized company representatives.

COMPENSATION & BENEFITS

SIG offers a competitive compensation and benefits package, including: Compensation range: $80,000 - 95,000 annually. This range reflects the compensation we genuinely expect to offer for this role.
