Responsibilities Corporate Governance & Securities Advise the Board of Directors, board committees, and senior management on corporate governance matters Assist with preparation and review of SEC filings and related disclosures, including Forms10‑K,10‑Q,8‑K, proxy statements, and Section16 filings Support securities law compliance under the Securities Act of 1933, the Exchange Act of 1934, stock exchange rules, and related regulations Mergers & Acquisitions / Corporate Support domestic and cross‑border M&A transactions from inception through closing Assist with legal due diligence, transaction management, and integration planning Draft, review, and negotiate transaction documents including NDAs, LOIs, purchase agreements, merger agreements, and ancillary agreements Coordinate with outside counsel and internal stakeholders to manage transaction timelines and deliverables Support corporate finance and strategic initiatives, including joint ventures and other growth projects General Legal & Special Projects Provide general corporate legal support across the business Assist with special projects involving senior management and cross‑functional teams Support operational excellence initiatives within the legal department Qualifications Juris Doctor from an ABA‑accredited law school 3–7 years of experience at a law firm and/or in‑house legal department Experience with M&A transactions and general corporate matters required Knowledge/exposure to securities law, public company reporting, or corporate governance preferred Strong drafting, analytical, and organizational skills Ability to manage multiple matters in a fast‑paced, global environment Strong communication skills and sound business judgment Licensure & Certifications Active membership in good standing with at least one U.S. state bar Compensation & Benefits Expected compensation range: $123,690.00 to $181,412.00 plus discretionary bonuses Competitive health and wellness benefit plan Continuous professional development opportunities Paid time off, sick time, floating holidays Competitive salary and sales incentive plan 401(k) plan with company match EEO Statement Solenis is proud to be an equal opportunity and affirmative action employer.
