Job Overview A law firm seeks a mid-level associate to join its Technology Transactions and Commercial Agreements team in Charlotte, NC, with a preference for candidates in Chicago or Atlanta. The role involves structuring, negotiating, and closing complex commercial agreements related to technology and intellectual property across various industries. Duties Structure and negotiate complex commercial contracts and technology deals. Handle software licensing and cloud services agreements. Draft software, data, and IP development agreements. Manage channel, reseller, and distribution agreements. Negotiate e-commerce and AI/ML development agreements. Conduct IP due diligence in M&A and financial transactions. Requirements 3-5 years of experience in technology transactions and commercial agreements. Experience with software licensing, cloud services, and digital infrastructure deals. Familiarity with AI/ML, semiconductor development, and digital assets. Strong analytical, writing, and project management skills. Ability to work collaboratively across teams and offices. Education Juris Doctor from a top-tier law school. Certifications Bar admission in at least one U.S. jurisdiction. Skills Excellent analytical and writing skills. Strong project management abilities.
