(New York, NY) Represent public & private co’s, inv.
banks, PE firms, alt. asset mgrs. in conn. w/ transact. incl. IPOs, follow-on
& secondary equity offerings, at-the-market & other registered equity
offerings, registered & unregistered debt offerings, convertible notes
offerings, business combinations & liab. mgmt. transact. such as tender
& exch. offers. Provide lgl & strategic advice, reg. guidance to
clients contempl. or particip. in these transact., incl. advice on lgl risks, mkt.
trends, ind. developments, deal structures, cross-border transact. issues. Prepare,
review, negotiate disclosure pkgs. & primary transact. docs. Correspond
directly w/ SEC, NYSE, NASDAQ Global Market, PCAOB & other reg. entities,
w/ auditors. Liaise w/ local counsel in foreign JDs to identify & address
cross-border transact. issues & ensure cohesive deal execution across
applicable JDs. Oversee due diligence processes. Advise on matters involv.
public co. governance & reporting. Advise company boards of directors &
board committees. $260,000 per year.
Req’mts: JD or foreign equiv., NY Bar, 3 yrs of exp. in position or 3
yrs. of alternate occupational exp. performing complex international capital
