Capital Markets / Securities Associate Attorney Location: New York A highly regarded national law firm is seeking a Capital Markets / Securities Associate with 3+ years of experience to join its sophisticated corporate practice in New York. What You’ll Be Doing Lead and execute a wide range of corporate finance transactions, including public and private securities offerings Advise on equity offerings, warrants, convertible instruments, and at-the-market (ATM) programs Counsel clients on securities law compliance, disclosure obligations, and ongoing reporting requirements Support alternative public market strategies, including de-SPAC transactions, reverse mergers, and direct listings Draft and negotiate offering documents, registration statements, transactional agreements, and related securities filings Partner closely with senior attorneys and clients on complex strategic transactions and regulatory matters What We’re Looking For 3+ years of capital markets and securities experience with a law firm Strong experience handling securities offerings and broader corporate transactional matters Deep working knowledge of the Securities Act, Exchange Act, and applicable stock exchange regulationsExceptional drafting, negotiation, and communication skills Ability to manage multiple active transactions and competing deadlines in a fast-paced practice Juris Doctor (JD) required Previous experience working in a law firm is required Admission to at least one U.S. state bar (New York preferred) Why Consider This Opportunity?
