Our client, a highly regarded Midtown Manhattan law firm, is looking to expand its Corporate and Securities practice with the addition of an experienced Capital Markets Associate.

The Practice

The incoming associate will represent public companies, issuers, and underwriters in a variety of securities offerings, financing transactions, and regulatory matters.

The practice encompasses:

• Equity Capital Markets: Initial public offerings, secondary offerings, follow-on transactions, and registered securities offerings.
• SEC Registration: Preparation and review of registration statements, including Forms S-1, S-3, F-1, and F-3.
• ATM Programs: Structuring and executing at-the-market equity offering programs.
• Securities Regulation: Advising on compliance with the Securities Act of 1933 and Securities Exchange Act of 1934.
• Public Company Representation: Counseling clients on periodic reporting, disclosure requirements, and corporate governance.
• Transactional Advisory: Supporting issuers and underwriters throughout capital-raising transactions and providing ongoing securities law guidance.

Associates are encouraged to take an active role in transaction management, develop direct relationships with clients, and work closely with partners on sophisticated matters.

The Ideal Background

The firm is interested in attorneys who offer:

• 3–6 years of substantial capital markets and securities experience.
• Recent transactional experience with an Am Law 100 firm .
• Hands-on involvement in IPOs, registered offerings, follow-on offerings, and ATM programs.
• Experience preparing SEC registration statements, particularly Forms S-1, S-3, F-1, and F-3.
• A thorough understanding of federal securities regulations, public company disclosure obligations, and Exchange Act reporting.
• Excellent legal drafting, analytical, organizational, and communication skills.
• Strong academic credentials, including a degree from a highly regarded law school and an excellent academic record.
• Admission to the New York Bar or eligibility for admission by motion.
